Constitution and By-Laws
Article 1 Name
Section A: This organization shall be known as:
Cedar Cliff Area Midget Football Association, Inc.
P.O Box 3035
Shiremanstown, PA 17011
Section B: The teams shall be known as the Cedar Cliff Cowboys. The teams consist of Smurfs, Pee Wees,
Ponies, and Midgets.
Article 2 Objectives
Section A: The object of this association is to provide a program of supervised football and cheerleading for
youths in the community, along with the following objectives:
- Good Sportsmanship - Character
- Honesty - Loyalty
- Courage - Respect for Authority
Article 3 Membership
Section A: Any person sincerely interested in active participation of the Cedar Cliff Football Association may
apply to be a member.
Section B: There shall be the following classes of members.
1. Player Members
– any youth meeting the requirements of the League and the Cedar Cliff
Football Association shall be eligible to compete, but shall have no rights or obligations in the
management or in the property of the association
2. Board of Trustees (Officers)
– The trustees of the Association shall consist of four (4)
elected officers and a maximum of three (3) appointed members.
Elected Officers Appointed Positions
- President - League Rep
- Vice President . Commissioner
- Treasurer - Cheerleading Coordinator
- Secretary
The President will appoint these three (3) positions each year. Elected Officers may not hold
appointed positions.
3. Board of Directors -
The Directors shall include all Trustees, Coaches, and active (noncoaching)
members. In order for a member to remain on the Board of Directors, they shall
attend two meetings in the period following their appointment. For this purpose the period of
accountability shall begin first the first meeting of January each year. It is further stipulated
that a member, excluding the first two meeting per the Trustees, at the time of voting must
have attended a minimum of two meetings since January of that year.
4. Active Member –
(See description under Government) All parents appearing on the
registration form who have attended a minimum of two board meetings will be entitled to vote
as a board member.
Article 4 Suspension of Members
Section A: Membership may be terminated by resignation or action of the Board of Trustees.
1.
Active Member (non-coaching) Suspension:
The Board of Trustees shall have the authority to discipline, suspend, or terminate the
membership of any member when the conduct of such person is considered detrimental to the
best interest of the Cedar Cliff Area Midget Football Association. The member involved shall
be given two weeks prior notice by registered mail of such meeting, informed of the general
nature of the charges and given an opportunity to appear at the meeting to answer such
charges. A two-thirds majority of the membership present is required for termination of any
member.
2.
Coaching Member Suspension:
The Board of Trustees shall have the authority to call a meeting and vote on his or her
dismissal as a coach when the conduct of such person is considered detrimental to the best
interest of the Cedar Cliff Area Midget Football Association. The coach involved shall be
given written prior notice by registered mail of such meeting, informed of the general nature
of the charges and given an opportunity to appear at the meeting to answer such charges. A
simple majority of the Trustees is required for termination of any coach.
3.
Player Member Suspension:
The Board of Trustees shall, in the case of the Player Member, give notice to the coach of the
team of which the boy or girl is a member. Said coach shall appear, in the capacity of an
advisor, with the boy or girl before a duly appointed committee of trustees, which shall have
full power to suspend or revoke right of future participation.
Section B:
Board Trustee Attendance
Any Board Trustee missing three (3) consecutive regularly scheduled meetings without contacting
a Board Member, will be dropped from the board.
Article 5 Government
Section A: The Association shall be governed by a Board of Directors.
1. All matters concerning operations of the Association shall be decided by a vote of the Board
of Directors. A simple majority of those members present at duly constituted meeting shall be
needed to carry a motion.
2. The Board of Directors shall include the Trustees, Coaches, and Non-coaching members.
Members shall have attended two (2) meetings during the year in order to vote in the election
of officers.
Section B:
The Board of Directors shall elect officers as follows:
a) President
b) Vice President
c) Secretary
d) Treasurer
Section C:
The Board of Trustees shall appoint the following positions:
a) League Representative
b) Cheerleading Coordinator
c) Commissioner
d) Committee Leaders
Section D: Duties of the Board of Directors are
as follows:
1. President
shall:
a. Supervise all officers, and board members.
b. Preside over all meetings, maintain order according to Roberts Rules of Order, put
all motions to a vote when properly seconded and discussed. Contact Vice President
to act in his/her place when unable to attend a meeting.
c. Cast a vote only in case of a tie at all association meetings.
d. Appoint all committees and shall be the ex-officio of all committees.
e. Appoint a nominating committee prior to November elections.
f. Represent the association in contacts with outside agencies and governmental
authorities.
g. Levy any fines or penalties to coaches brought about by the League or Association
but at all times remain outside the coaching staffs problems and not interfere with the
coaching staff in any way. Note: This requirement does not exclude the President
from functioning in a coach capacity, just his/her involvement as an officer.
h. Insure the provisions of these constitution By-laws are met.
2. Vice President
shall:
a. Assist the President in his duties, and in the absence of the President, shall perform
his duties. In case of resignation or the inability to perform duties of the President,
the Vice President shall succeed the President in that office for the un-expired term,
and in turn shall appoint a Vice President to also serve that office for the un-expired
term.
3. Secretary
shall:
a. Record the minutes of each meeting
1.) Record and maintain names of all of those in attendance
2.) Secure a substitute in case of absence from a regular meeting
b. Receive and conduct correspondence on behalf of the organization
c. Have charge of list of names and registrations of football players / cheerleader

1.) Make sure all papers are properly signed by players, parent, guardian, or
doctor.
2.) Make sure that Medical Release form is signed and given to Head Coaches
before equipment is handed out.
3.) Collect copies of birth certificates from each player prior to the beginning
of the first game. These can be on file from year to year until a player
graduates and then removed from file.
4. Treasurer
shall:
a. Receive and act as custodian of all funds and property paid or donated to the
association.
b. Maintain an account and be responsible for of all receipts and disbursements and
submit a written financial report at each monthly board meeting.
c. Submit a year end financial report with a summary of all expenses and income at the
November meeting per the outgoing officer. The prior year end financial report shall
be submitted with a summary at the beginning January meeting.
d. Permit no secondary committee(s) fund outside of the treasurer office.
5. Commissioner
shall:
a. Accept the applications of candidates for coaches for the teams and presents their
qualifications to the Board of Directors for their approval.
b. Have complete control over the coaches and players programs including all games.
c. Serve as liaison between the coaches, Board, and parents.
d. Attend the League conference meetings, (if no League Representative was
appointed) each month and relay the information discussed which concerns our
organization. Casts vote on behalf of our association after the board vote is taken at
our regular meeting.
e. Assist the Board and/or (if the board so delegates) appoint an:
Overall Equipment Manager
shall:
i. Oversee the custody, control, and maintenance of all
equipment. Reports a yearly inventory at the January meeting
as well as future requirements.
ii. Maintain player equipment inventory and enforce parental
responsibility for lost equipment throughout and at the end of
the season.
iii. Be responsible for purchasing and maintaining all the
equipment and uniforms being used by the Cedar Cliff
Cowboys.
iv. Shall obtain permission from the board for any major
purchases or transactions during the year.
v. Maintain purchases or transactions records for submission to
association secretary and/or treasurer.
6. CFA Representative
shall:
a. As appointed by the president, attends the conference meetings each month and
relays information discussed which concerns our association.
b. Cast a vote on behalf of our association after the board vote is taken at our regular
meeting.
7. Cheerleading Coordinator
shall:
a. Approve the selection of the cheerleader advisors and present their qualifications to
the Board of Trustees for approval.
b. Have complete control over all competition, parades, etc. to be entered and over all
advisors. Any decision deemed to be against the best interest of the association can
be overruled by the Board.
c. Act as liaison between advisors, parents, and the Board
d. Conduct a meeting prior to the beginning of the season with parents and participants
to present the standards of cheerleading conduct.
e. Assist the Board and/or (if the board so delegates) appoint an:
Cheerleading Equipment Manager
shall:
i.
Oversee the custody, control, and maintenance of all
equipment. Reports a yearly inventory at the January meeting
as well as future requirements.
.Maintain cheerleader equipment inventory and enforce
parental responsibility for lost equipment throughout and at
the end of the season.
ii.
Be responsible for purchasing and maintaining all the
equipment and uniforms being used by the Cedar Cliff
Cowboys.
iii.
Shall obtain permission from the board for any major
purchases or transactions during the year.
iv.
Maintain purchases or transactions records for submission to
association secretary and/or treasurer.
8.. Committee Leaders
shall:
a. Preside over a committee and encourage others to help with committee functions.
Section E
Committees
a. All committees are directed by a board member.
b. All committees shall be appointed as soon as possible at the beginning of a new year.
c. The following committees shall exist and can be added to or deleted as deemed necessary for
the current year.

d. All funds raised shall be governed by the Board of Directors.
Article 6 Meetings
Section A:
Regular Meetings
Meetings shall be held monthly from January through November, during the last week of the
month to coincide with the League meeting dates. Meetings shall be held from January to
November.
Section B:
Special Meetings
Meetings May be called at the discretion of the President or upon request to him by three active
members. All active members will be notified at least one week prior to the date of the special
meeting
. Nothing shall be transacted except the business for which said meeting was called.
Section C:
Attendance
a.
All parents shall be encouraged to get involved with the association by attending monthly
meetings.
b.
Two (2) meetings must have been attended prior to the November meeting in order to vote in
the election of officers.
Article 7 Election of Officers
Section A:
Elections
a.
Nomination of officers shall be conducted by the nominating committee which shall consist of
three (3) to five (5) people appointed by the president at the October meeting. Nominations
may also be from the floor. The nominating committee shall be present at the slate for new
officers whose terms shall be for one year unless re-elected.
b.
Election of President Vice-President, secretary and Treasurer shall be conducted at the last
meeting in November. Any vacancy which occurs during the season shall be filled by the
President.
c.
Advertisement of the Election must be held at the conclusion of the football season.
d.
All coaches, advisors, officers and board members may cast one vote.
Article 8 Players
Section A:
Eligibility
1. The age of the football player is to be determined by the conference to which the association
is a member.
2. The weight of the football player to be determined by the conference to which the association
is a member.
3. Each youth must present a copy of a birth certificate upon registration.
4. Each youth is required to have a physical examination and have the registration form signed
by his own physician or team physician.
5. Each player must have registration form and a medical released form signed by parent or
guardian.
6. Each player must meet all financial obligations including registration fees, fundraising and
equipment fees.
7. Players under the age of 8 must have a parent or responsible adult present during all practices.
Section B:
Football Players Equipment
Each player shall be fully equipped with the exception of football shoes (molded cleats) as
described in League by-laws, athletic cup supporters, mouth guards, and practice jerseys, of which
the youth is responsible to secure on his own.
Section C:
Cheerleaders
1. The age restrictions shall be from ages 5 to 13
2. Any cheerleader under the age of 8 must have a parent or responsible adult present during all
practices.
3. The cheerleaders and their staff are responsible to the association for their performance and
conduct.
4. All monies collected for registration and for any fundraising shall be placed in the association
treasury and will be disbursed upon request of the coordinator.
Article 9 Game Officials
Section A:
Officials
1. Officials shall be provided for by an approved association, Assigned by the league or
conference for all games, all post season, or other than league games.
2. Officials hired for each home game shall be the responsibility of the president, according to
conference rules.
Article 10 Applications
Section A:
Coaches
1. Applications shall be filed with the secretary by April 1 of each year.
2. Head coaches shall be approved by the football commissioner / cheerleader coordinator.
3. The Head coaches will appoint their own staff. The head coach has the discretion to choose
the number of assistants on their staff not to exceed four (4).
4. All coaching staff must be approved by the Football Commissioner / Cheerleader Coordinator
and a majority vote by the Board of Directors prior to beginning the season.
5. Assistant coaches shall follow the head coaches training program.

At no time shall a coach be harassed or embarrassed by any Board of Director. Although, if
in the minds of the Board of Trustees or the Board of Directors a coach is not carrying out his
or her duties in a manner becoming this association, the Board of Trustees has the right to call
a meeting and vote on his or her dismissal. For dismissal of a coach, the Board of Trustees
must reach a majority vote.
7.
All coaches must have State Police and Child Abuse History clearances with fees to be paid
by the Association.
8.
All coaches must attend a safety/first aid training prior to the start of practice.
Article 11 Team Parent
Section A:
Team Parent
1. The team parent (father / mother) shall be selected by the Board of Trustees and /or the head
coach of each team of players / cheerleaders.
2. The responsibility of the team parent will be:
•
Coordinator between parents and the Head Coaches.
•
Schedule parents to work concession stands and provide items for bake sales during
home games.
Article 12 Amendments
Section A:
Amendments to the Constitution
1. This Constitution may be amended, repealed, or altered in January in whole or in part by the
majority vote at any duly organized meeting of the active members, provided the amendment
procedure is followed.
2. The amendment(s) procedure shall:
a) Provide documented notice of the proposed changes
b) Provide the current constitution language (Article, Section, etc.) and the proposed new /
change language.
c) Provide notice (Date and Time) with the proposed changes to the Board of Directors prior
to a duly organized meeting of the members for said action.
d) Be approved upon a vote of the majority of the Board of Directors at a duly organized
amendment meeting.
e) Amendment change discussions are allowed at any duly organized association meeting
during new business but no vote can occur without adherence to constitution amendment
procedure.
f) Any approved Constitution amendment will be documented as a change by the secretary,
a revised Constitution document signed by the officers and distributed at the next duly
organized meeting after the reading of the prior meeting minutes.
Section D:
Amendments to the Bylaws
1. The bylaws of the Cedar Cliff Area Midget Football Association can be amended at any time
by a majority vote of the membership present.
2. Any approved Bylaw amendment will be documented as a change by the secretary, a revised
Bylaw document prepared and distributed at the next duly organized meeting after the reading
of the prior meeting minutes.
By-laws of Constitution
Cedar Cliff Cowboys Midget Football Association
1. Quorum – The presence of a two- thirds of the eligible voting members shall be necessary to constitute a
quorum.
2. Voting – Only Board of Directors and Active Eligible Members shall be entitled to vote at any meeting of
the Cedar Cliff Area Midget Football Association
3. Rules of Order – Roberts Rules of Order shall govern the proceedings of all meetings, except where same
conflicts with the Constitution and By-laws of the Cedar Cliff Area Midget Football Association.
4. Finance Committee – The Board of Trustees will appoint a Finance Committee of not less than three (3)
nor more than five (5) members, one (1) of which shall be the Vice-President. The treasurer shall be an exoficio
member of the committee. The committee shall investigate the Ways and Means of financing the
Cedar Cliff Area Midget Football Association including team sponsorships and submit recommendations.
5. The Property and Grounds Committee – The Board of Trustees may appoint a Field Maintenance
committee consisting of three (3) members. The committee shall investigate and recommend available
suitable sites and plans for development, including ways and means, the later in cooperation with the
Finance Committee. It shall be responsible for repair and improvement recommendations other than
normal maintenance and supervise the performance of approved projects. The committee shall be
responsible for the care and maintenance of the playing / practice fields, buildings and grounds. It shall
operate within the amount approved and appropriated in the budget for the purpose.
6. Auditing Committee – The President of the association shall appoint an Auditing Committee consisting of
three (3) members. The books of the association, cheerleaders, and Auxiliary shall be audited prior to
installation of new officers. The President, Treasurer, or signers of the checks are not eligible to serve on
the committee.
7. The Board of Trustees shall not permit the solicitation of funds in the name of the Cedar Cliff Area Midget
Football Association unless all of the funds so raised are placed in the Association Treasury.
8. No Trustee, Officer, Member or Director of the Cedar Cliff Area Midget Football Association shall receive,
directly or indirectly, any salary, compensation or employment from the Association for devices rendered
as Trustee, Officer, Member or Director.
9. The Fiscal year of the Cedar Cliff Area Midget Football Association shall begin on the first day of January
and shall end on the last day of November.
10. Distribution of Property upon Dissolution – Upon dissolution of the Cedar Cliff Area Midget Football
Association and after all outstanding debts and claims have been satisfied, the Trustees shall distribute the
property of the Association to such other organization or organizations maintaining an objective similar to
that set forth herein, which are or may be entitled to exemption under Section 501(c) of the Internal
Revenue Service Code or any future corresponding provision. The Treasurer and President shall act as
guardian
s of this provision.
11. Any boy or girl playing football or cheerleading under Cedar Cliff Area Midget Football Association
sponsorship, shall be assessed a nominal fee at registration. A $10 late fee will be charged for anyone
registering after equipment handout.
12. Any player or cheerleader who fails to return equipment on the designated date at the end of the season will
be subject to a $25 late fee.
13. Any boy or girl under the age of 8 playing football or cheerleading under the Cedar Cliff Midget Football
Sponsorship must have a parent or responsible adult present during all practices.
14. Parents will assume financial responsibility to replace equipment that is lost or damaged.
